ARTICLE I - NAME

 The name of the organization shall be the Moberly High School Alumni Association.  A non-profit unincorporated association, formed on December 16,1996 in Moberly, Missouri.

ARTICLE II - RECORDS

 The Association shall keep correct and complete books and records of account and shall also keep minutes of the proceedings of the Alumni Association Executive Board.  The Association shall keep at its principal office a record of the name and place of residence of each Executive Board member.  Such records shall be kept open for inspection of all persons interested.

 ARTICLE III – PURPOSE

 The organization is organized as an unincorporated association and will be operated for charitable purposes as outlined in the bylaws.  No part of the organization’s receipts will inure to the benefit of individuals.  The organization has not engaged in any political or lobbying activities.

 The purpose for which said association is formed is:  (a) to promote Alumni activity & involvement in the community and Moberly Schools;  (b) to serve as an information center for alumni activities (i.e. reunions);  (c) to recognize and honor significant contributions graduates of Moberly High School have made to the school and community;  (d) to promote personal contact, fellowship through social and recreational activities.

The following document will serve as the first amendment to the By-Laws dated December 16, 1996 for the Moberly High School Alumni Association and shall be dated May 1, 2007.

“Article III – Purpose” shall be replaced as follows:

ARTICLE III – PURPOSE

The purposes of the Association shall be to:

Promote school spirit, loyalty and fellowship among alumni, students, faculty, and staff of MHS through a variety of activities, including communication and reunions.

Location of alumni and maintenance of a current database of said alumni.

Provide a source of historical information about Moberly High School.

Actively support and promote Moberly High School within the community.

Help with the funding of old and new scholarships for students.

Promote the general fellowship and community involvement with the school.

 

 ARTICLE IV - MEMBERSHIP

 SECTION 1.  CLASSES OF MEMBERSHIP - There shall be two classes of membership, which shall be designated as follows:  (a) Alumni Membership - An alumni membership shall be open to all graduates;  (b) Associate Membership - Anyone who attended Moberly High School or those wishing to participate in the Alumni Association activities.

SECTION 2.  DUES - Membership dues shall be reviewed and recommended by the Executive Board and voted on by the membership, to be paid to the treasurer beginning in the month of January.

SECTION 3.  VOTING - Alumni or associate members shall be entitled to cast one vote so long as the member is in good standing.

SECTION 4.  MEETINGS - The membership shall meet not less than once per calendar year with the annual meeting being held in the spring.

SECTION 5.  QUORUM - A quorum of the membership shall be ten members in good standing.

 ARTICLE V - EXECUTIVE BOARD

SECTION 1.  THE GOVERNMENT OF THE ASSOCIATION - The direction of its work and the control of its assets shall be vested in an Executive Board consisting of association officers.

SECTION 2.  The Executive Board shall enact such rules as it deems expedient for the government of the association, not inconsistent with existing by-laws.  All vacancies in the Executive Board may be filled by nominations from the Board and voted on by the members attending the meeting.  At each annual meeting of the membership, to be held in the spring, and at all other times deemed appropriate, the Board shall make a full report of the work and finances of the association.

SECTION 3.  The Executive Board shall meet not less than twice a year at such regular time and place as shall be determined by them.  Three members of the Executive Board shall constitute a quorum at any meeting.

SECTION 4.  Prior to the annual meeting of the membership, the president shall appoint four members in good standing to serve on a nominating committee.  The nominating committee shall be charged with nominating persons for the Executive Board.

SECTION 5.  At the annual meeting of the membership, nominations from the nominating committee for membership on the Board shall be presented to the membership.  The offices of President and Secretary will be filled on even-numbered years and the offices of Vice-President and Treasurer will be filled on odd-numbered years.  If there are no objections, the slate of the Board selected by the nominating committee will serve for two years.  The membership shall be entitled to add such additional nominations as they shall determine by motion, second and majority vote of those attending the meeting.

SECTION 6.  After the annual meeting, the slate of the Executive Board will be published in a paper of general circulation within Randolph County.

SECTION 7.  Members of the Executive Board shall be limited to Alumni members of the organization.

SECTION 8.   The term of office for members of the Board shall be two years, except for the first year of the organization's inception when Vice President and Treasurer shall be one year.

 ARTICLE VI - OFFICERS

SECTION 1.  There shall be the following officers of the association:  (a)  President;  (b)  Vice-President;  (c) Secretary;  (d)  Treasurer.

SECTION 2.  DUTIES OF THE OFFICERS

 

A.         PRESIDENT - The president shall serve as the executive head of the association and shall preside at all meetings of the membership and Executive Board.  The president shall, with the advice and counsel of the Executive Board, select committee members for standing committees and appoint special committees as are deemed appropriate.  The selection of the committee chairpersons shall be the sole prerogative of the president of the association.

 

B.         VICE-PRESIDENT - The vice-president shall exercise the powers and authorities and perform the duties of the president in the absence or disability of the president of the association.  The vice-president shall further be responsible for such  other and further duties as the Executive Board may place upon him/her.

 

C.         SECRETARY - The secretary shall conduct the official correspondence, preserve all books, documents, and communications and maintain an accurate record of the proceedings of the association.  The secretary shall also help with mailings and keep mailing lists updated and assist in any other way deemed appropriate.  The secretary shall perform such other and further duties as may be directed by the Executive Board.

 

D.         TREASURER - Dues will be paid to the treasurer.  The treasurer shall keep a list of paid alumni members and associate members.  The treasurer shall be responsible for safe guarding funds received by the association and for proper deposit in a financial institution approved by the Executive Board.  The treasurer shall report at each meeting of the officers and each meeting of the Executive Board a financial report of the organization.  The treasurer shall perform such other and further duties as may be directed by the Executive Board.

SECTION 3.  All officers shall be elected by the voting membership of the association of those present at the annual meeting

 SECTION 4.  The Executive Board shall make the recommendation to the association to remove an officer.  Such action can be taken by majority vote of membership at any meeting.

ARTICLE VII - COMMITTEES AND APPOINTED AUTHORITY

SECTION 1.  THE PRESIDENT - By and with the approval of the Executive Board, shall appoint all committees.  The president shall have the sole authority and responsibility to determine the committee chairperson.  Such appropriate committees and their chairpersons may be appointed as they deem necessary to carry out the program of the Alumni Association.  Any appointment shall be at the will and pleasure of the Executive Board and in no event shall it exceed the terms of the appointing president.  It shall be the function of the committee to make investigations, conduct studies and hearings, make recommendations to the Board and to carry on such activities as may be delegated to them by the Board.

SECTION 2.  LIMITATION OF AUTHORITY - No action by any members of a committee, division, director or officer shall be binding upon or constitute expression of the policy of the Alumni Association, until it shall have been approved or ratified by the Executive Board.

SECTION 3.  The committees shall be discharged by the president when their work has been completed and their reports accepted or when in the opinion of the Executive Board, it is deemed wise to discontinue the committee.

SECTION 4.  The committee chairperson shall present a report at each meeting of the Executive Board as directed by the president.

SECTION 5.  The following standing committees will be appointed by the Executive Board:  Nominating, Scholarship, Rules, Reunion/Homecoming, Membership, Auditing and any other committee as the Executive Board deems necessary.

ARTICLE VIII - FINANCES

SECTION 1.  FUNDS - All monies paid to the Alumni Association shall be placed in a general operating fund.

SECTION 2.  DISBURSEMENTS - Upon approval of the budget, the treasurer is authorized to make disbursements on account and expenses provided for in the budget without additional approval of the Executive Board.  Disbursements shall be made by check only.  Disbursements shall not exceed the budgeted amount without Board approval.

SECTION 3.  FISCAL YEAR - The fiscal year of the Alumni Association shall close on December 31st of each year.  The treasurer's books shall be audited by an audit committee of at least three members in good standing.

The audit report shall be presented in writing to the Executive Board during the 1st quarter of each year.

ARTICLE IX - PARLIAMENTARIAN PROCEDURES

The current edition of Robert's Rules of Order shall be the final source of authority on all questions of parliamentarian procedure when such rules are not inconsistent with the by-laws of this association.  The president shall appoint some member in good standing to serve as parliamentarian.

ARTICLE X - SPECIAL MEETINGS

Special meetings of the executive Board or the membership may be called only by:

1.  The President or

2.  Four members of the Executive Board presenting a request for a special meeting setting forth the business to be discussed to the secretary or

3.  The membership shall be entitled to call a special meeting of the Executive Board or the membership by presenting a petition signed by twenty members in good standing indicating the date, time and place of the meeting and the business to be discussed, which notice shall be delivered to the secretary who shall give proper notice of the meeting.

ARTICLE XI - DISSOLUTION

The association shall use its funds only to accomplish the objects and purposes specified in the by-laws and not part of said funds shall inure, come or be distributed to the members of the association.  On dissolution of the association, any funds remaining shall be distributed in one or more regularly organized or qualified organization within Moberly High School as selected by the Executive Board.

ARTICLE XII - AMENDMENTS

These by-laws may be amended or altered by a three-fourths vote of the members of the Executive Board at any regular or special meeting, provided, however, that notice for the meeting include the proposal for amendments.  In addition, these by-laws may be amended or altered by a simple majority vote of the association members in good standing in attendance at the meeting provided, however, that notice of the proposals for amendments shall be given to all members of the association.

All proposed amendments or alteration to the by-laws shall be submitted to the membership in writing at least thirty days prior to the date of balloting.  Balloting shall be as provided herein with election of the Executive Board.

The following Articles shall be added to the By-Laws as follows:

ARTICLE XIII – ASSOCIATION OPERATIONS

 SECTION 1.  DATABASE – The Association will maintain a database of all alumni of the high school.  This database will include alumni name, e-mail address, mailing address, telephone number and membership status, which shall be the option of the alumnus and/or Board of Directors.

 SECTION 2.  NEWSLETTER – The Association will publish a newsletter at least once a year with information provided directly by members, Class Coordinators, Officers, Directors, or Committee Members.  The newsletter will be emailed to all Association members and a copy of the latest newsletter shall be posted on the MHS Alumni website.  Upon request, a copy of the newsletter will be mailed to members without an email address.  Operating procedures for the Newsletter will be developed by the President and approved by the Board of Directors.

SECTION 3.  HISTORY – The Board of Directors shall appoint a historian to maintain archives of Association memorabilia to include, but not limited to, yearbooks.  Duties of the Historian include:  keeper of Association archives, including all memorabilia, and proactive searching for said memorabilia; point of contact for research question for students currently at the school or any other interested individuals.

SECTION 4.  REUNIONS – The Association will host an annual reunion and homecoming to which all class years will be invited.  The Officers, with the approval of the Board of Directors, will set the date of this reunion in conjunction with Moberly High School Homecoming activities.

SECTION 5.  SCHOLARSHIPS – The Association will solicit special contributions to fund and/or add to scholarship(s) for deserving graduating students of Moberly High School.  The Association will work with Moberly High School administration to determine the method of actually awarding money to old or new scholarship(s) with the approval of the MHS Alumni Board of Directors.

ARTICLE XIV – GENERAL PROVISION

SECTION 1.  CONTRACTS – The President shall propose and the Board of Directors shall approve a policy detailing which Officer(s), or agent(s) shall be authorized to enter into any contract or execute any instrument in the name of the Association.  All contracts shall require the signature of the President or Vice President, with the approval of the Board of Directors.

SECTION 2.  INDEMNIFICATION – In discharging their duties, the Directors, Officers, and various Committee Members of the Association shall be indemnified by the Association for judgments and fines (whether civil, criminal, administrative or investigative) for any of the above enumerated matters, as well as reasonable expenses for each, including attorney’s fees actually and necessarily incurred as a result of such action or proceeding, if such Director, Officer of Committee Member acted in good faith, for a purpose which he or she reasonably believed to be in the best interests of the Association, but had no reasonable cause to believer that his or her conduct was unlawful.

SECTION 3.   GIFTS – The Board of Directors, President, Vice President, Secretary, or Treasurer may accept on behalf of the Association any contribution, gift, bequest or device for the general purpose of or for any special purpose of the Association.

ARTICLE XV – RELATIONSHIP WITH MOBERLY HIGH SCHOOL

In accordance with the stated purposes of the Association, the Board of Directors and Officers shall make all reasonable efforts to maintain good relations and communication with Moberly High School, its successors and its constituents.  There shall be no financial relationship between the Alumni Association and the School, although the Association may periodically donate funds to the School for various purposes.  The Association shall uphold the high standards set the Moberly School Board.

This amendment to the Moberly High School Alumni Association has been adopted into the current By-Laws on this date, May 1, 2007
